This Application Protection, Terms of Use, and Terms & Conditions governs access to and use of all software applications, platforms, and digital services developed, owned, or operated by ProGuide Tech Solutions™. By accessing, using, registering for, or interacting with any ProGuide Tech Solutions application in any manner, the user acknowledges, understands, and agrees to be legally bound by these terms without limitation or qualification.
All applications developed by ProGuide Tech Solutions™ are proprietary software products. The software, including but not limited to its source code, object code, system architecture, workflows, logic, structure, features, databases, user interface, visual design, text, documentation, naming conventions, and operational concepts, constitutes protected intellectual property under the United States Copyright Act, Title 17 of the United States Code, and applicable federal and state laws. All rights are expressly reserved.
No user is granted ownership, license, or transferable rights to any portion of the software except a limited, revocable, non-exclusive right to use the application strictly for its intended purpose. This permission may be terminated at any time without notice for misuse, abuse, violation of these terms, or conduct deemed harmful to the integrity of the application or its owner.
Unauthorized actions are strictly prohibited. This includes, but is not limited to, copying, reproducing, duplicating, mirroring, modifying, adapting, translating, reverse engineering, decompiling, scraping, extracting data, recreating workflows, imitating functionality, training competing systems using application output, or otherwise exploiting the application or its components in whole or in part. Any attempt to replicate the application's design, logic, workflows, or operational behavior—whether directly or indirectly—constitutes infringement regardless of method or medium.
Use of automated tools, artificial intelligence systems, bots, crawlers, or third-party services to analyze, reproduce, or derive competitive products from any ProGuide Tech Solutions application is expressly forbidden without prior written authorization. Any circumvention of technical safeguards, access controls, or usage limitations is strictly prohibited.
ProGuide Tech Solutions™ retains the right to monitor usage for compliance, suspend or terminate access, disable accounts, restrict functionality, or pursue legal remedies where misuse or infringement is suspected. Enforcement may occur without prior warning.
All applications are provided "as is" and "as available." ProGuide Tech Solutions™ makes no warranties, express or implied, regarding uninterrupted operation, error-free performance, or suitability for a particular purpose. The owner shall not be liable for indirect, incidental, consequential, or punitive damages arising from use or inability to use the application.
To the fullest extent permitted by law, users agree to indemnify and hold harmless ProGuide Tech Solutions™, its owners, operators, affiliates, and agents from any claims, damages, losses, liabilities, or expenses arising out of misuse, unauthorized activity, or violation of these terms.
These terms shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to conflict-of-law principles. Venue for any dispute shall lie exclusively in courts of competent jurisdiction within Texas.
Continued use of any ProGuide Tech Solutions™ application constitutes ongoing acceptance of these Terms of Use and Conditions. If the user does not agree, they must immediately discontinue all use of the application.
